We are seeking a Senior Paralegal to join our fast growing legal team. We are looking for a highly-motivated individual with significant knowledge and experience primarily in the areas of corporate governance and real estate transactions, with additional experience in one or more of the following: mergers and acquisitions, compliance management, and general contract support. The ideal candidate is highly organized, detail-oriented, and comfortable managing multiple workstreams with minimal supervision.
This is a hybrid position located from our legal headquarters in Creve Coeur, Missouri. Candidate(s) must be a U.S. citizen or otherwise compliant with Government restrictions.
Key Responsibilities:
includes all or some of the following functional areas:
- Corporate Governance and Compliance Management-
- Prepare and maintain corporate records, minute books, and entity formation/dissolution documents.
- Assist with annual meeting logistics, proxy materials, and director/officer questionnaires.
- Track SEC filing deadlines and assist with Section 16 and other regulatory filings for public company clients; familiarity with SEC EDGAR is preferred.
- Maintain subsidiary charts, and good standing certificates across multiple jurisdictions.
- Ensuring the company meets statutory and regulatory requirements.
- Mergers & Acquisitions-
- Support due diligence efforts, including document collection, review, and organization of data rooms.
- Assist in drafting and compiling disclosure schedules and closing checklists.
- Prepare ancillary transaction documents, including officer's certificates, resolutions, and consents.
- Coordinate signature pages and closing mechanics across multiple parties and workstreams.
- Support post-closing integration efforts, including entity rationalization, name changes, and updating corporate records for newly acquired subsidiaries.
- Track post-closing deliverables and outstanding obligations.
- Real Estate-
- Support commercial real estate transactions, including due diligence, title review, and survey analysis.
- Review deeds, leases, and related transactional documents.
- Coordinate with title companies, lenders, and outside counsel on closings.
- Track lease abstracts, key dates, and renewal deadlines.
- General Contracts-
- Aide in drafting, reviewing, and redlining routine commercial agreements (NDAs, vendor contracts, service agreements).
- Maintain databases and tracking systems for key terms, renewals, and obligations.
- Support contract lifecycle management processes and flag risk issues for review.
- Cross-Functional-
- Manage document production, and records management across practice areas.
- Assist with or manage the maintenance and organization of legal department files.
- Coordinate deadlines and project timelines for multiple attorneys.
- Liaise with internal stakeholders, outside counsel, and third-party vendors.

- Strong proficiency with document management systems, Microsoft Office applications including Teams, and some understanding of AI usage.
- Professional demeanor with all levels of stakeholders.
- Education and Experience:
- Paralegal degree/Certificate in Paralegal Studies required.
- 8+ years of paralegal experience, with meaningful experience in at least two of the following areas: corporate governance, real estate, contract, or M&A.
- Preferred:
- Experience with virtual data room platforms (Datasite, Intralinks, etc.).
- Notary commission.

Compensation for roles at TTM Technologies varies depending on a wide array of factors including but not limited to the specific office location, role, skill set and level of experience. As required by local law, TTM provides a reasonable range of compensation for roles that may be hired in New York, California and Colorado. For California-based roles, compensation ranges are based upon specific physical locations.

Must comply with TTM Export Control Policies and Procedures and all applicable laws including ITAR, EAR and OFAC including but not limited to: a) being able to identify ITAR product on the manufacturing floor and understand that access to these products and related technical data is restricted to only US Citizens and US Permanent Residents; b) recognition of Foreign Person visitors by badge differentiation; c) understand and follow authorization procedures for bringing foreign visitors into facilities (VAL); d) understand the Export and ITAR requirements for shipments leaving the US; e) manage vendor approvals for ITAR manufacturing and services.
